Terms of Services

The Payscout donation portal herein called "donation page" is owned by Payscout, Inc. and is protected by United States and international copyright laws. (And international treaties). Upon your agreement to and compliance with the terms of this license agreement, Payscout, Inc. grants you, herein called the "LICENSEE", the following non-transferable, non-exclusive rights of use to insert the donation page on your website. Payscout, Inc. has the right to terminate this agreement if the "LICENSEE" fails to comply with any term or condition of this agreement.

Grant of license regarding the Program.

Payscout, Inc. grants the "LICENSEE" the following rights regarding the use of the "donation page."

    Use of the "donation page" can be only for LICENSEE'S website processing that was established for via client's merchant application.

    Copying or modifications to the "donation page"

 

The "LICENSEE" may not make copies of the "donation page," remove or make attempts to modify the "donation page", change, or bypass installation or delivery method.

The "LICENSEE" may not distribute, sublicense, lease, sell, rent or otherwise transfer the "donation page" or any modification or derivative thereof and to any other individual or group for any reason.

LICENSEE shall acquire no rights in Payscout as set forth herein. Title and ownership of all proprietary rights in Payscout, Inc. including any copyright, patent, trade secret, trademark or other intellectual property rights, will at all times remain the property of Payscout, Inc.

LICENSEE agrees not to remove or obliterate any copyright, trademark or proprietary rights notices of Payscout, Inc. or Payscout's "donation page". There are no warranty rights granted to you, the "LICENSEE", regarding the "donation page" and accompanying written materials are supplied to the "LICENSEE" "as is" without warranty of any kind. Payscout, Inc. does not guarantee, warrant, or make any representations, either expressed or implied, regarding the use, or the results of the use of the "donation page" or the generic written materials with regards to reliability, accuracy, correctness, or otherwise. The "LICENSEE" assumes the entire risk as to the results and performance of the "donation page".

Payscout, Inc., shall not be liable under any circumstances, for any damages whatsoever, arising out of the use, or the inability to use, the "donation page", even if Payscout, Inc., has been advised of the possibility of such damages, or Payscout, Inc. is at fault or error for the damages. By using the Payscout "donation page," LICENSEE agrees to all terms and conditions and agrees to hold Payscout, Inc. harmless, its employees and any tier associated with Payscout harmless for any problems, errors, legal fees, court fees and any expenses associated with problems directly or indirectly relating to "donation page."

LICENSEE further agrees that this agreement will neither update, amend or modify LICENSEE's existing credit card or merchant processing agreement, relationship, or terms thereof already established with Payscout, affiliates banks, processors or relating 3rd parties.

Severability

If any provision of this Agreement is held to be illegal, invalid, or unenforceable for any reason whatsoever, the remaining provisions will remain valid and unimpaired, and shall continue in full force and effect; this Agreement shall then be construed and enforced as if the illegal, invalid, or unenforceable provision had never comprised a part of this Agreement but there will be added automatically as a part of this Agreement a provision as similar in terms to the illegal, invalid, or unenforceable provision as may be possible and be legal, valid, and enforceable.
